The bank is privately owned by about 350 shareholders, many of whom are local
residents. The board of directors is comprised of independent business people
and professionals with a strong following in the community.

Denise L. Baker, M.D. Born in Long Island, NY, Dr. Baker graduated
from Florida State University with a B.A. and M.S. in Audiology and Speech
Pathology. She returned to FSU and obtained a B.S. degree in Biology. After
obtaining her medical degree from the University of Florida she completed a
residency in Obstetrics and Gynecology. She opened Manatee Women's Health, P.A.
in Bradenton, and later formed Baker Medical Arts, P.A. |

Charles M. Brown A Bradenton, FL native, Mr. Brown earned a degree
in Mortuary Science from the Cincinnati College of Mortuary Science. For many
years Mr. Brown has owned and operated funeral homes in this area. Currently he
and his family own and operate Brown & Sons in Bradenton. Mr. Brown was awarded
the Manatee County Chamber’s overall Small Business-Person of the Year in 1991. |

Brian D. Burghardt A Detroit, MI native, Mr. Burghardt is a master
electrician and co-owner of P.D.G. Electric, an electrical contractor in Manatee
County. Active in the Shrine and Masonic Lodge he served as Chairman of the
Child Development Center in Sarasota, FL. His brother, Phillip L. Burghardt is
also a director of the Bank. |

Phillip L. Burghardt Also a Detroit native and like his brother,
Mr. Brughardt is a master electrician and co-owner of P.D.G. Electric. Mr.
Burghardt served as director of the Manasota Industrial Council, the Manatee
Chamber of Commerce, and on the Economic Development Council of the Chamber.
Both Burghardts received the Manatee County Small Business-Person of the Year
Award in 1989. |

Thomas H. Downs Born in Findlay, OH and graduated from Ohio
Wesleyan University with a degree in liberal arts, Mr. Downs is the former
President of Gator Asphalt Company, a leading asphalt producer and contractor on
the Florida West Coast. Mr. Downs is a past Director of the National Asphalt
Pavement Association and has served as a Director of the Boys and Girls Clubs of
Manatee and the Manatee Chamber of Commerce. |

Thomas A. Howze A Bradenton, FL native, Mr. Howze graduated from
the University of Florida with a B.S. degree in Business Administration. After
serving in the army, Mr. Howze established Howze Investment Company, a real
estate development company. His company has been a leading developer of shopping
centers, apartments and professional office buildings. |

Duane L. Moore Born in Jefferson, OH, Mr. Moore moved to Bradenton,
FL as a child. After attending college studying veterinary science, Mr. Moore
returned to operate his family's dairy business. He is President of Moore Dairy
Farm, Inc., formed in 1970. He is active in the Manatee County Historical
Society and serves on the Florida Feed Technical Committee of the Florida
Department of Agriculture. |

Kenneth L. Schermer, M.D. Born in Pekin, IL, Dr. Schermer holds a
medical degree from Indiana University. After a career in pathology, Dr.
Schermer recently retired. He has extensive experience in banking and remains
active in community affairs. |

William H. Sedgeman, Jr., Chairman Born in Toledo, OH Mr. Sedgeman
obtained his undergraduate degree from Harvard College. A twenty-five year
banker in Bradenton, Mr. Sedgeman is the past Chairman of the Manatee Chamber of
Commerce, past Chairman of the United Way, past President and current Director
of the Florida West Coast Symphony, and serves as Chairman of the Manatee
Economic Development Council. |

Thomas R. Sprenger, M.D. Born in Seymour, IN, Dr. Sprenger received
his undergraduate degree from Marshall University and his medical degree from
Indiana University. Dr. Sprenger practiced orthopedic surgery in Bradenton for
many years and recently retired. In addition to his medical career, Dr. Sprenger
had a distinguished thirty-year military career culminating in his appointment
as a Brigadier General of the Line in October 1986. Dr. Sprenger retired from
the active military in 1991. |

| Mike McCoy, President, has a commercial lending
expertise in lease-financing, asset based lending, and SBA
programs. Following Mike’s upbringing in Bradenton, he earned his
B.S. from the University of Florida, and an M.B.A. from the
University of South Florida. His community involvement includes
serving as a director of the United Way and the YMCA, and as an
active member of Kiwanis and the Chamber of Commerce. |

Marvin R. DeBerry, Senior Vice President for
Lending and Loan Administration, has thirty years of commercial
banking expertise and senior management, a valuable asset to many
small businesses, and he is a native of Tampa Bay. |
| Robert W. Covington, Jr., Vice President, and Senior Commercial Lender for the
Tampa area also has an extensive commercial banking career in lending and senior
management. A native of Tampa Bay, he has served on the board of trustees for
the Make a Wish Foundation, and the Humana Community Hospital. |

Christopher J. Kneer, Vice President of Commercial Lending,
specializes in both conventional and SBA loans to small businesses in the greater
Tampa Bay area. He is a graduate of the prestigious Stonier Graduate School
of Banking and is an active member of the Tampa Connection, a civic leadership
organization. |
| John J. Hanlon, Assistant Vice President, SBA Lending.
After graduating from Bowling Green State University, Mr. Hanlon began his banking career 1988 in Customer Service with Commercial Credit Corporation in Clearwater, Florida. Returning to Ohio in the 90's, he held commercial credit analyst positions, was an employee benefit administrator, and a senior trust officer and a business loan officer with Fifth Third Bank and The Ohio Bank in Findlay. He joined Community Bank in 2004 specializing in U. S. Small Business Administration loan programs. He is a member of Leadership Manatee and is active in the Manatee Chamber of Commerce. |
